Tax law implicates several related areas in general corporate law, non-profit law, and personal matters. Accordingly, we serve clients in several related areas and have developed relationships with attorneys in related areas of practice to provide the most comprehensive legal services.
We counsel entrepreneurs, start-ups and businesses of all sizes to formally establish and expand their businesses. This includes counseling on choice-of-entity (C Corporation, Partnership, S Corporation, Limited Liability Companies and Partnerships,, etc.), preparing corporate records and resolutions, managing the company in a legally compliant manner, operating across state, and national borders, preparing partnership, shareholder and member agreements and resolving disputes between stakeholders. We counsel our clients on properly structuring and managing their companies under the law to maximize income, partnership and corporate tax benefits and minimize liabilities.
Our global client base includes many businesses seeking to enter the market in the United States or expanding globally. The U.S. Tax Laws are known to be among the most complex and yet, advantageous for foreign investors provided the transaction is structured property. Additionally, foreign investment and expansion by U.S. Companies have to be equally well-structured to prevent negative tax consequences. We structure corporate transactions to fit each client's needs and present our clients with multiple legal options to properly structure a transaction to cater to the client's unique goals. We formulate separate short and long term strategies to maximize benefits to our clients.
We also counsel not for profits organizations with formation and administration including obtaining the IRC 501(c)(3) status when appropriate. We counsel our non-profit clients on fundraising options and limitations, structure planned giving, formulate and counsel on private foundations, and counsel on business record-keeping and officer and director responsibilities and liabilities. We offer a reduced fee structure for non-profits to recognize their goodwill efforts.
We formulate complex estate and gifting plans to minimize estate and gift tax liabilities for our clients while enabling them to fulfill their goals of transferring wealth within the family, continuing legacies with multi-generational wealth planning, and effectively planning business succession.
Our basic package includes a Last Will and Testament, Healthcare Directive and Power of Attorney. Many clients choose to add a revocable trust to the package to reduce the expense and time involved in the probate process and to simplify estate administration. Most high-net worth clients are best served with Trust planning, charitable giving and gift planning and business succession planning in addition to the basic package. We counsel clients on life insurance trusts, qualified personal residence trusts, various charitable annuity and remainder trusts, grantor retained annuity trusts among others. We also advise clients on International Estate Tax issues involving non U.S. Citizen spouses or non U.S. Citizen clients on gifting and develop gift and estate plans to minimize the additional estate and gift tax liabilities imposed on non citizens. For example, we incorporate special trusts such as the Qualified Domestic Trusts to defer estate taxes on non-citizen spouses.
We prepare prenuptial and postnuptial agreements for our clients seeking to plan asset transfer and management while preventing additional negative tax consequences in the event of a divorce. Premarital agreements are especially recommended for clients with significant assets, unequal wealth distribution between the parties, business interests, children from prior relationships and marriages, and special issues,
We represent clients on contested matters involving estate and fiduciary litigation including representing clients before the Internal Revenue Service (IRS) in administrative proceedings regarding tax assessments and issues relating to the valuation of assets including closely-held businesses, real estate and personal property.
We represent estates of decedents who died testate (with a Will) and intestate (without a Will) on the entire probate and administration process. This includes preparing estate and fiduciary accounting, filing the necessary pleadings and documents with the probate courts, preparing and filing various state and federal tax returns, including Estate and Gift Tax Returns, such as Forms 706 and 709 as appropriate. We work closely with our clients and provide the extent of representation necessary in each situation (from counseling on small estates to managing the entire process on more complicated estates). We represent the personal representative or executor before government authorities and manage the administration process from beginning to end so that our clients have one less responsibility during this time of loss and grief.
In line with our client focused services, we also counsel clients on best caring for their loved ones and their assets especially when the loved ones suffer from physical or mental disabilities. This includes counseling and representing clients on the necessary guardianship proceedings, preparing Special Needs Trusts with Medicaid Planning, Social Security Benefits applications and consultations and related matters.
Our business law practice encompasses not only tax related matters but other matters that arise commonly with our business clients. These include representations on commercial transactions and litigation, including real estate purchase and sales, contract drafting and negotiation, breach of contract matters, and franchise law including preparing franchise disclosure documents, franchise agreements and related confidentiality agreements, trademark and copyright counseling and registration with the United States Patent and Trademark Office and filing international trademarks.
Additionally, mergers and acquisitions, including spin-offs and split-offs, asset and stock sales and transfers, the purchase and sale of businesses, partnership and shareholder agreements, closely-held business planning and valuation, employee benefits structuring and planning, key man insurance and buy-sell agreements heavily implicate tax law.
